Electric vehicle startup Rivian and legacy automaker Volkswagen
\nhave announced plans for an alliance that will give VW access to
\nRivian's electrical architectures and software. In return, VW will
\ninject $5 billion into Rivian via a combination of convertible
\nnotes, cash and loans spread over the coming three years. \u202f<\/p>\n

Rivian is not yet financially self-sufficient<\/h2>\n

The deal mutually benefits both parties: Young Rivian needs
\ncapital to offset ongoing free cash burn (around $6 billion in each
\nof the last two years). Having begun mass production of electric
\nvehicles in 2021, the company has more scaling to do before
\nattaining financial self-sufficiency. We do not foresee a
\nsignificant uptick in volumes until the second generation R2 models
\nscale up in 2027 and 2028.<\/p>\n

\"Rivian<\/p>\n

Collaboration boosts VW's vertical integration goals<\/h2>\n

By contrast, VW needs technology. It has struggled in recent
\nyears to build its own software development capabilities via its
\ntroubled Cariad subsidiary. We believe VW sees particular value in
\nRivian's 'over-the-air' (OTA) update technologies. Its primary
\nelectric competitor, Tesla, has achieved a clear technological
\ndifferentiation by building more in-house. \u202f<\/p>\n

\"Volkswagen<\/p>\n

Future Rivians could be built in VW plants<\/h2>\n

The VW-Rivian partnership does not include any plant-sharing
\ndimension today. However, there is arguably significant scope for
\nGermany-based Volkswagen to help US-based Rivian scale up. The
\nGerman group has systematically underperformed its own growth
\naspirations in North America, and if VW sought to retool excess
\nproduction capacity for Rivian, there could be benefits for both
\nsides.<\/p>\n

Nearer term, questions remain around how Rivian will impact VW's
\npre-existing plans to revive their Scout brand via new electric SUV
\nmodels. Construction of a new production site in Columbia, South
\nCarolina broke ground in February, and we forecast the plant to
\ncome online in late 2026.<\/p>\n
